The "PERMITTER", acting through the Director of Public Works, hereby grants to the "PERMITTEE" the privilege of allowing the water well to encroach within the "PERMITTER'S" dedicated road right-of-way known as Harold Loop until such time as public water and sewer is made available. If and when water and sanitary sewer mains are installed within the Harold Loop right-of-way, the "PERMITTEE" agrees to abandon the well. Any additional and/or extraordinary costs incurred during the construction of Anchorage Water and Wastewater facilities to accommodate the encroachment shall be paid by the "PERMITTEE". 2. The "PERMITTEE" agrees forever to indemnify, defend, save and hold harmless, the Municipality, its officers and employees, from any and all lawsuits, claims or actions brought by any person for or on aocount of damage to property or injury, disease, illness or death of persons, including all costs and expenses incident thereto, arising wholly or in part from or in connection with the existence of, alterations, maintenance, repair, renewal, reconstruction, operation, use or removal of the encroaching water well situated along "PERMITTEE'S" property and encroaching within "PERMITTER'S" dedicated road right-of-way as described herein. 3. The "PERMITTEE" shall not assign or transfer any of the rights granted herein to another individual or company without first notifying and securing the approval of the Director of Public Works. 4. This Agreement and Permit grants "PERMITTEE" no interest in "PERMITTER'S" real property whatsoever, except only the encroachment rights described herein. 5. The "PERMITTER" reserves the right to revoke this permit upon twenty days (20) written notice to the "PERMITTEE". The "PERMITTEE", agrees upon said notice of revocation, to immediately move said encroachment from the dedicated road right-of-way known ~:s Harold Loop. Should the '~PERMITTEE'~ refuae or fail to comply with said written notice, the "PERMITTER", may without further notice to the "PERMITTEE", remove or cause to be removed the encroachment, and the "PERMITTEE" hereby agrees to reimburse the "PERMITTER" for all costs incidental to the removal thereof. In addition to the mutual promises heretofore made, the "PERMITTEE" hereby promises to pay the "PERMITTER" a one-time permit fee of one hundred dollars ($100.00). Generally speaking, septic tanks should not be considered a "continuous" source of contamination as would a leachfield. 3. Nitrate sample taken from the well located on the referenced property indicated 1.14 mg/1. In our opinion, the separation distance requirement prescribed by 18AAC.021 is not necessary in this case. No payment hereunder of said improvements or any part thereof shall be construed as an acceptance of any work done up to the time of such payment, except as to such items as are plainly evident to anyone not experienced in construction work, but the entire work is to be subject to the inspection and approval of the inspector for the Public Authority at the time when it shall be claimed by the Contractor that the work has been completed. At the completion of the work acceptance by the Public Authority shall entitle Contractor to receive ail progress payments according to the schedule set forth in paragraph 3 hereof. It is understood and agreed that the accept- ance of any works by the Owner shall not be construed to be an acceptance by the First Lien Holder who is not a party hereto. 7. The plans and specifications are intended to supplement each other, so that any works exhibited in either and not mentioned in the other are to be executed the same as if they were mentioned and set forth in both. 8. Should the Owner, Lien Holder or Public Authority at any time prior to or during the progress of the work request any modification, alterations or deviations in, additions to, or omissions from, this contract or the plans or specifications, herein called "extra work", he shall request in writing that the Contractor undertake such extra work. If Contractor shall agree to such extra work, Contractor shall submit to Owner an estimate as to the cost of such extra work and if agreeable to Owner and Contractor a written change order covering such work shall be signed and the Owner shall cause to be paid the full cost of such change order in cash in advance of the commencement of work on any such extra. This contract shall be held to be completed when the work is finished in accordance with the original plans as amended or modified by such change order, whatever may be the nature or extent thereo[. The rule of practice to be observed in fulfillment of this paragraph shall be that upon the agreement of the Owner and the Contractor, as to the character and valuation of any or all changes, omissions or extra work such agreement shall be fixed in writing as a change order signed by the Owner and the Contractor. Where the alterations, devia- tions, additions, or omissions from the said plans or specifications required the written approval .of the First Lien Holder, the Owner will secure said written approval. Provided~ however, that the Contractor is not deemed to have waived his right to compensation for extra work if the same is not provided for in writing, but shall be paid a reas- onable value of such work as compensation. 9. The Contractor shall not be responsible for any damage occasioned by the Owner or Owner's agent, Acts of God, earthquake, or other causes beyond the control of Contractor. unless otherwise herein provided or unless he is obligated by the terms hereof to provide insurance against such hazard or hazards. It is understood and agreed that if Contractor finds that extra concrete is required he is hereby authorized by the Owner to pout' such amount of concrete as is required by the bnilding code and/or Lien Holder and/or site conditions and shall promptly notify Owner of such extra concrete. Owner shall deposit the cost of thc, required extra concrete with the Contractor. 10. At the completion of the work acceptance by the Lien Holder and the public authority shall entitle Con- tractor to receive all progress payments according to the schedule set forth in paragraph 3 hereof. It is understood and agreed that the acceptance of any works by the Owner shall not be construed to be an acceptance by aforesaid First Lien Holder who is not a party hereto. 12. Owner agrees to sign and file for record within five (5) days after the completion and acceptance of said work by thee lien holder, a Notice of Completion (a copy thereof to be deposited with aforesaid First Lien Holder at least forty-eight (48) hours prior to such recording), and Contractor agrees upon recepit of final payment, to re- lease the said work and property from any and all claims that may have accrued against same by reason of said con- struction. If the Contractor faithfully performs the obligations of this part to be performed, he shall have the right to refuse to permit occupancy of the structure by the Owner or Owner's agent until Contractor has received the pay- ment, if any, due hereunder at completion of construction, and said Notice of Completion shall have been signed by Owner. Said First Lien Holder has the right to make its own decisions as to the completion of any work, independ- ent of the parties hereto. 13. Owner agrees to procure at his own expense and prior to the commencement of any work hereunder, fire in- surance with Course of Construction, All physical Loss and Vandalism and Malicious Mischief clauses attached, such insurance to be in a sum equal to the total cost of said improvements as set forth in paragraph 3 hereof, with loss, if any, payable to any mortgages or beneficiary, under any Deed of Trust, such insurance to be written to protect the Owner and Contractor, and Lien Holder, as their interests may appear, and should Owner fail so to do, Contractor may procure such insurance, as agent for Owner, but is not required to do so, and Owner agrees on demand to reim- burse Contractor in cash for the cost thereof. 14. Contractor shall at his own expense carry all workmen's compensation insurance and public liability insur- ance necessary for the full protection of Contractor and Owner during the progress of the work. Certificates of such insurance shall be filed with Owner and with said First Lien Holder if Owner and First Lien Holder so require. 15. As between the parties hereto, all questions as to the rights and obligations arising under the terms of the contract, the plans and specifications are subject to arbitration. In case of dispute either party hereto may make a demand for arbitration by filing such demand in writing with the other. One arbitrator may be agreed upon, other- wise there shall be thre~, one named in writing by each party within five days after demand is given, and a third chosen by the two appointed. Should either party refuse or neglect to appoint said arbitrator 6r to furnish the arbi- trators with any papers or. information demanded he or they are empowered by botl~ parties to proceed ex parte. If there be one arbitrator his decision shall be binding; if there be three the decision of any two shall be binding. Such decision shall be a condition precedent to any right of legal action, and wherever permitted by law it may be filed in Court to carry it into effect. The Arbitrators, if they deem that the case demands it, are authorized to award to the party whose contention is upheld such sums as they shall deem proper for,the time, expense and trou- ble incident to the appeal, and, if the appeal was taken without reasonable cause, damages for delay. The arbitrators shall fix their own compensation, unless otherwise agreed upon, and shall assess the costs and charges of tile arbi~ tration upon either or both parties. No one shall act as arbitrator who is in any way financially interested in this contract or in the business affairs of either Owner or Contractor. The action or decisions of any arbitrators do not affect any of the rights of, and are not binding upon the aforesaid First Lien Holder. 16. Should either party hereto bring suit in court to enforce the terms hereof any judgment awarded shall in- clude court costs and reasonable attorney's fees to the successful party. 17. Upon the completion of the work the Contractor agrees to remove all debris and surplus materials occasioned by construction, from the building site (including under area of structure) and leave said property in a neat and broom clean condition. /~" 18. Owne~* will be responsible for, and pay all costs of any additional labor for excavation of foundation trenches due to rocky terrain or existing concrete or asphalt improvements, (To be paid for by verified cost, plug 15%.) 20. The Contractor shall not be responsible for damage to existing walks, curbs, driveways, cesspools, septic tanks, sewer lines, water or gas lines, arches, shrubs, lawn, trees, clothesJines, telephone and electric lines, etc., by the general contractor, sub-contractor, or supplier incurred in the performance of work or in the delivery of mate- rials for the job. Owner hereby warrants and represents that he shall be solely responsible for the condition of the building site with respect to finish grading, moisture, drainage, alkali content, soil slippage and sinking or any other site condition that may exist over which the Contractor has no control and subsequently results in damage to the building. 21. The Owner is solely responsible for the location of all lot lines and shall identify all corner posts of his lot for the Contractor. If any doubt exists as to the location of such lot lines, the Owner shall at his own cost, order and pay for a survey. If the Owner shall wrongly identify the location of the lot lines of the property any changes re- quired by the Contractor shall be at Owner's expense. Which expense shall be paid by Owner to Contractor in cash prior to continuation of work. 22. General contractor has the right to sub-contract any part, or all, of the work herein agreed to be performed. 23. Contractor has the option to re-negotiate this contract in part or in its entirety, prior to the escrowing of this contract. 24. Owner agrees to install and/or connect at owner's cost, such utilities and make such improvements in addi- tion to work covered by this contract as may be required by Lien Holder and/or public authorities prior to com- pletion of work of Contractor as specified in plans and specifications. 25. Contractor shall not be responsible for any damages occasioned by plumbing leaks unless water service is connected to the plumbing facilities prior to the time of rough inspection. 26. The Owner is solely responsible for all charges incurred for grading of lot for level building site, removing all trees, debris, and other obstructions prior to start of clonstruction. 27.
